Alcatel SA and Lucent Technologies Inc. filed a registration statement with the Securities and Exchange Commission.
The two companies said the registration statement includes the preliminary prospectus of Alcatel in connection with the offering of Alcatel American Depositary Shares and underlying Alcatel ordinary shares in the proposed merger transaction, and a preliminary proxy statement of Lucent in connection with the special meeting of Lucent stockholders to vote on such combination.
The merger of the two vendors was announced April 2.
