Charter Rams Home Deal

Charter Communications Inc. has teamed up with the St. Louis Rams on a
multipronged, three-year sponsorship deal.

Under the agreement with the National Football League club, Charter will
co-produce a regular cable-television show, sponsor a preseason home game,
benefit from exposure via stadium signage and develop an 'Internet Café' at the
Rams home, the Edward James Dome.

Terms of the deal were not disclosed.

Beginning with the kickoff of the 2002 season, Charter and the Rams will
co-produce a regular cable-television show focusing on the team and its players,
coaches and staff. Charter also becomes the official sponsor of the annual Rams'
wives' holiday toy collection.

And the agreement will give Charter an opportunity to showcase its services
-- including digital cable and high-speed Internet offerings -- at the Internet
Café.

An eight-foot-by-50-foot Charter logo sign will be festooned outside of the
Edward Jones Dome, while the MSO's name will also be part of rotational signage
inside the venue during Rams' games and other events.

Charter will also sponsor instant replays on the Jumbotron stadium monitor
during NFL contests.

'This is a great opportunity for Charter to support our hometown championship
team while at the same time building recognition for our company among our local
customers and a national audience,' Charter vice president of marketing Rick
Lang said.

'This agreement also offers us ways to demonstrate our new products and
services to customers and to play an important role in the St. Louis community,'
he added.
