Cox Communications Inc.'s San Diego system and Major League Baseball's San
Diego Padres have signed a deal to continue their partnership, which will result
in an 'all Padres, all the time' digital channel in 2003.

Cox currently shows home games on Channel 4 under the terms of its last deal,
which was signed in 1997 and expires at the end of this year. The new
cablecasting pact is for 10 years and will make Cox a 'founding ballpark
partner' in the stadium under construction for the baseball team near downtown
San Diego.

Cox agreed to lease 22,542 square feet of space in the so-called East Village
Square development near the park. This will help the ballclub to satisfy its
commitment to the city to fill 30 percent of the square's development.

Cox will continue to cablecast home games (145 this year) on Channel 4 for
two years, then it will launch digital Channel 444, which will show Padres
baseball, sports talk, classic games and other programming on the team 365 days
per year.

The partners proceeded with the deal despite construction having been halted
on the yet-to-be-named ballpark due to legal and operational
problems.
