DirecTV Sets Secondary Offering


DirecTV Group Inc. said Wednesday that it has filed an amendment to its registration statement with the Securities and Exchange Commission.

Under terms of the amendment, in a secondary offering of its common stock, the General Motors Special Hourly Employees Pension Trust, the General Motors Special Salaried Employees Pension Trust and the Sub-Trust of the General Motors Welfare Benefit Trust will offer an aggregate of 55 million shares of common stock.

The sellers will also grant the underwriters an option to purchase 5.5 million additional shares held by them.

The Goldman Sachs Group Inc. and Morgan Stanley Dean Witter & Co. will serve as co-book-running managers, with Citigroup Global Markets Inc., Credit Suisse First Boston LLC and J.P. Morgan Securities Inc. acting as co-managers.
