Amphenol Corp. said Friday that it filed a shelf registration statement registering 12.3 million shares of its common stock (ticker: APH), including all 11.9 million shares owned by affiliates of Kohlberg Kravis Roberts & Co.
The KKR stake amounts to about 25% of total Amphenol shares outstanding. The company said the registration would "facilitate the orderly distribution of KKR's shares and create significant additional liquidity in the company's common stock, which has been long desired by many investors."
A prospectus supplement will be provided when the shares are offered for sale, Amphenol said.
The other approximately 400,000 shares come from management at Amphenol, which makes electronic and fiber-optic connectors, cable and interconnect systems.
