Rogers’ Call-Net Acquisition Done

Rogers Communications Inc. said Friday that it has completed its acquisition of Call-Net Enterprises Inc., which had been announced May 11.

Call-Net common and class-B shareholders will receive one RCI class-B nonvoting share for every 4.25 Call-Net shares they hold.

The new board of directors at the Canadian integrated communications-solutions provider, also members of RCI’s board, are: H. Garfield Emerson, Ronald D. Besse, C. William D. Birchall, Peter C. Godsoe, Thomas I. Hull, Philip B. Lind, Nadir H. Mohamed, David R. Peterson, Edward S. Rogers, Edward Rogers, Melinda M. Rogers, Loretta A. Rogers, William T. Schleyer, John A. Tory, J. Christopher C. Wansborough and Colin D. Watson. All of the members of Call-Net's previous board have resigned.

Call-Net CEO Bill Linton and executive vice president and chief financial officer Roy Graydon have resigned their respective positions, but they will continue with the company and assist with its integration into RCI.
