TCA, Cable One Conclude Swap

Tyler, Texas -- After some tweaking, TCA Cable TV
Inc. and Cable One completed their previously announced swap of systems in Oklahoma and
Texas, the two companies said last Thursday.

The revised deal involves a total of 27,500 subscribers,
down from the previously planned 33,000. Cable One gets former TCA systems in
Bartlesville, Dewey and Tonkawa, Okla., while TCA gets former Cable One systems in Lufkin,
Fuller Springs, Burke, Diboll and Angelina County, Texas.

TCA retains the Blackwell, Okla., system that was to have
gone to Cable One. And TCA will manage, but not own, the Cable One systems in Livingston
and Corrigan, Texas, that it was to have obtained in the swap.

The deal closed last Monday. TCA, based here, has about
870,000 subscribers, while Cable One, a unit of The Washington Post Co., has around
635,000 subscribers.
