Englewood, Colo. -- TCI Communications Inc., the cable arm
of Tele-Communications Inc., signed a definitive agreement last week with Century
Communications Corp. regarding their California system combination and exchange, which was
announced at last year's Western Show.
The deal, which has not closed yet, will enable TCI and
Century to consolidate their holdings in the San Francisco Bay area and Los Angeles,
TCI will contribute systems with about 243,000 subscribers
in Southern California to a partnership that also includes 500,000 subscribers from
Century, which will own 75 percent of the venture. TCIC will own 25 percent, and the
venture will absorb some TCI debt.
In a related transaction, TCIC will swap systems in East
San Fernando Valley with about 94,400 subscribers for Century systems with 90,000
subscribers in Northern California.
